Position Summary The Legal Counsel will provide practical, business-oriented legal advice to support organizational objectives and risk management across the business. Reporting to the General Counsel, the Legal Counsel will manage a broad range of corporate/ commercial legal matters. This role requires a lawyer with sound judgment, strong business acumen, and the ability to work independently while providing clear, practical legal advice to senior leaders, operational teams, and internal stakeholders. This is a generalist in-house legal role requiring flexibility to advise on a broad range of corporate, commercial, governance, regulatory, employment, procurement, real estate, financing, dispute resolution, privacy, compliance, and risk management matters. Duties and Responsibilities The Legal Counsel will be responsible for: Providing legal advice and opinions to business units on a range of corporate, commercial, regulatory, governance, employment, and operational matters. Drafting, reviewing, negotiating, and interpreting contracts, agreements, policies, and other legal documents. Supporting commercial transactions, procurement matters, financing arrangements, real estate matters, and contract management processes. Advising on corporate governance matters, including board and committee processes, resolutions, policy review, corporate records, and governance documentation. Monitoring and advising on legislative and regulatory developments affecting the organization. Conducting legal research and providing practical recommendations, risk assessments, and options to internal stakeholders. Supporting dispute resolution, litigation management, investigations, claims, and external counsel coordination. Developing and maintaining effective relationships with internal stakeholders, external counsel, regulators, suppliers, and business partners. Preparing legal updates, templates, training materials, policies, and guidance documents to support compliance and consistent legal practices. Performing other legal duties as assigned by the General Counsel. Qualifications The successful candidate will have: A Juris Doctor (JD) or Bachelor of Laws (LLB) degree. Membership in good standing with the Law Society of Manitoba, or membership in another Canadian jurisdiction with eligibility for admission to the Law Society of Manitoba. Five to seven years of post-call legal experience. Experience in one or more of the following areas: corporate/commercial law, contracts, real estate, governance, employment, procurement, financing, and litigation management. Strong legal research, drafting, negotiation, analytical, and problem-solving skills. Demonstrated ability to provide practical, risk-based legal advice in a business environment. Knowledge, Skills and Abilities The successful candidate will demonstrate: Sound legal judgment and strong business acumen. Excellent written and verbal communication skills. Ability to manage multiple priorities and deadlines. Strong attention to detail and discretion when handling confidential matters. Ability to work independently while knowing when to escalate issues. Collaborative approach and ability to build effective relationships across the organization. Practical, solutions-oriented approach to legal advice and risk management.

Exigences
