JOB DESCRIPTION OVERVIEW This role will report to the Legal Head of Corporate Finance, Securities and Regulatory Affairs. As Senior Legal Counsel and Assistant Corporate Secretary within the Corporate Secretariat team, and in collaboration with a global team of paralegals located in various jurisdictions, you will be responsible for: YOUR ROLE * Participating in the preparation of periodic and other public disclosures, including the proxy circular, annual information form, financial documents and quarterly and annual CEO/CFO certifications; * Participating in the preparation of the annual meeting of shareholders of Groupe AtkinsRéalis inc.; * Providing advice on securities law, public company compliance and corporate governance matters; * Providing general support for subsidiary governance, including in connection with legal entity management and rationalization initiatives, as well as the review of documentation relating to internal reorganizations and share capital changes; * Preparing or reviewing documents related to the Company’s financing activities; * Providing advice relating to executive compensation and share-based compensation plans; Acting as Assistant Corporate Secretary for certain subsidiaries of AtkinsRéalis Group Inc., * Assisting the Corporate Secretary in preparing documents related to corporate governance and the activities of the Board of Directors of Groupe AtkinsRéalis Inc. and its committees, including drafting resolutions, minutes, memoranda and information documents. Depending on the candidate’s experience and qualifications, the role is expected to evolve over time to include Assistant Corporate Secretary responsibilities for AtkinsRéalis Group Inc., * Preparing or reviewing the documents required in connection with transactions and tax reorganizations, such as the issuance and transfers of shares, share redemptions and rollovers, dividend declarations, etc.; * Performing all other duties related to the role. ABOUT YOU Note that the position level may vary depending on the profile and level of experience of the selected candidate. * Member of the Barreau du Québec; * Relevant experience as in-house legal counsel within a Canadian public company or in the corporate/commercial department of a Canadian law firm; * Experience within an international company or with matters involving multi-jurisdictional dimensions would be an asset; * Excellent knowledge of corporate law, securities law and the regulatory framework applicable to public companies; * Ability to monitor and analyze developments in the regulatory framework applicable to public companies and to make practical recommendations in that regard; * Bilingual in French and English, both written and spoken; * * Sound judgment, organizational skills and attention to detail; * Ability to work under pressure and manage multiple requests at the same time; * Demonstrated ability to work and adapt in an interdisciplinary team environment; * Leadership, professional judgment, integrity and a strong sense of responsibility; * Strong professionalism, discretion and ability to preserve the confidentiality of sensitive matters. *Member of the Canadian or Global Leadership Team: This position requires knowledge of a language other than French, namely English, as it involves collaboration with members of the Canadian or global leadership team located outside Québec.
