We are currently recruiting for the following role in our Toronto office: Corporate Law Clerk Essential Functions Determine and draft various corporate legal documents, including closing agendas, agreements, and ancillary documents related to complex transactions such as corporate and tax-driven reorganizations, share and asset transactions, acquisitions, mergers, amalgamations, plans of arrangement, amendments, dissolutions, and continuations Review and/or draft multiple class share provisions Conduct complex minute book reviews and prepare minute book review memos and documents to correct minute book deficiencies Assist with the preparation of annual maintenance documents, including ISC/transparency register filings for Ontario, federal, and extra-provincial entities Provide advanced support to lawyers in connection with strategic planning and review for large corporate transactions Complete required provincial and federal corporate filings Draft documents relating to federal and provincial not-for-profit corporations Communicate directly with clients at the direction of lawyers and independently manage files Act as a resource to other clerks and students on complex corporate matters Share knowledge and best practices across the corporate team Provide internal CLE (continuing legal education) on general corporate matters Qualifications A minimum of 6 years' corporate law clerk experience in a large law firm environment A diploma in Law Clerk studies from an accredited Ontario college, or completion of the Institute of Law Clerks of Ontario certification Experience working with a corporate database Professionalism, with the ability to interact and communicate effectively with individuals at all levels Ability to prioritize, multitask, and thrive in a fast-paced environment Ability to exercise independent judgment while being a strong team player Excellent organizational, verbal, and written communication skills Additional Details Compensation: $120,000 to $160,000 per annum Vacancy: This position is for an existing vacancy Apply To Human Resources Bennett Jones Services Limited Partnership 3400 One First Canadian Place P.O.
