Legal Director, Mergers & Acquisitions Location: Toronto, Ontario Our Client Our client is a rapidly growing software acquisition and operating company that acquires, builds, and supports vertical market software businesses across North America and internationally. As the organization continues to expand through a high-volume acquisition strategy, it is seeking a Legal Director to join its Toronto legal team. Responsibilities Lead legal due diligence on acquisitions across corporate, intellectual property, employment, regulatory, commercial, and compliance matters. Draft, review, and negotiate letters of intent, purchase agreements, disclosure schedules, and ancillary transaction documents. Manage transactions throughout the full acquisition lifecycle, from LOI through closing and post-closing integration. Partner closely with M&A Directors, Operating Partners, and business leaders to execute transactions efficiently and on time. Manage external counsel across multiple jurisdictions and specialized workstreams. Provide day-to-day legal support to portfolio companies on commercial contracts, corporate matters, and operational legal issues. Support legal continuity across portfolio companies during internal transitions. Advise portfolio company leadership on practical legal and business matters. Contribute to the continued development of legal processes and best practices as the legal function grows. Grow into a broader portfolio legal leadership role over time. Qualifications Member in good standing of the Law Society of Ontario or eligible for prompt admission. Possess 5–7+ years of legal experience with a strong M&A transactional background from a mid-sized or large law firm. Significant experience on buy-side transactions, including due diligence and purchase agreement negotiation. Experience managing transactions from LOI through closing. Exposure to technology, software, or SaaS companies is a strong asset. Cross-border or U.S. M&A experience is considered an asset. In-house experience within a technology company is a strong plus. Strong drafting, negotiation, and communication skills. Excellent commercial judgment with the ability to provide practical, business-focused legal advice. Comfortable working independently in a fast-paced, high-volume deal environment. The Ideal Candidate Thrives in an entrepreneurial, fast-paced, acquisition-focused environment.
