The role provides autonomy, professional growth opportunities, and exposure to sophisticated corporate environments. \n Accountabilities: The Corporate Governance Lawyer will provide legal expertise and strategic support on corporate governance matters, helping clients maintain strong governance structures and meet regulatory obligations. The role requires close collaboration with boards, executives, and legal stakeholders to deliver practical solutions aligned with business objectives. Advise boards of directors and executive leadership on corporate governance matters, including fiduciary responsibilities, board processes, and governance best practices. Draft, review, and maintain corporate governance materials, including bylaws, board charters, committee documents, policies, resolutions, and related records. Support public company compliance activities, including annual meetings, proxy materials, regulatory filings, and disclosure obligations. Provide guidance on securities-related matters, corporate law requirements, and evolving governance standards. Oversee entity management processes, corporate records, and subsidiary governance requirements. Partner with legal and business teams to identify risks, improve governance practices, and support strategic initiatives. Ensure corporate documentation remains accurate, compliant, and aligned with applicable laws and internal policies. Provide practical legal recommendations to support efficient decision-making and organizational effectiveness. Requirements: The ideal candidate is an experienced corporate governance attorney with strong knowledge of public company matters, securities regulations, and board governance practices. They bring excellent legal judgment, communication skills, and the ability to work independently with senior stakeholders. 6+ years of experience in corporate governance, securities law, or public company representation. Strong understanding of corporate law, securities regulations, proxy requirements, and board governance frameworks. Active legal license and good standing in Ontario or Alberta. Experience advising executives, boards of directors, and senior business stakeholders. Strong drafting, analytical, and problem-solving abilities. Excellent written and verbal communication skills with the ability to communicate complex legal concepts clearly. Ability to manage multiple priorities and deliver high-quality legal work independently. Strong attention to detail and commitment to compliance, accuracy, and professional excellence.
