Our client, a leading Vancouver law firm with a sophisticated regional, national and international practice, is seeking a talented Corporate Finance & Securities Associate to join its highly regarded corporate group (consistently recognized among the leading lawyers in British Columbia and Canada by publications including Chambers Canada, Lexpert and Best Lawyers in Canada). This is an exceptional opportunity for a lawyer with 2–5 years of experience who is looking to work on sophisticated corporate finance, securities and M&A transactions alongside some of the most accomplished corporate practitioners in British Columbia. The firm acts for a diverse client base ranging from entrepreneurs and emerging companies to significant public companies, private corporations, institutional investors and financial institutions. Its lawyers regularly advise on complex Canadian and cross-border transactions across industries including mining and natural resources, energy, infrastructure, technology, life sciences, financial services, real estate, manufacturing and other key sectors. Responsibilities Include: Working closely with leading partners, the successful candidate will gain broad exposure to corporate finance, securities and transactional matters, including: Public and private financings and securities offerings; Private placements and other capital-raising transactions; Mergers, acquisitions and strategic transactions; Corporate reorganizations and restructurings; Securities regulatory, reporting and disclosure matters; Corporate governance and continuous disclosure obligations; General corporate and commercial matters; and Ongoing strategic advice to public and private companies. There is also the opportunity to gain exposure to sophisticated cross-border transactions and to work with clients and other advisors across Canada and internationally. Requirements: 2–5 years of experience gained at a leading law firm in securities, corporate finance and/or corporate/commercial law; Experience with public and private financings, securities matters and/or M&A transactions; Strong drafting, analytical and problem-solving skills; Excellent judgment and attention to detail; Strong interpersonal and client-service skills; The ability to manage multiple files and changing priorities in a sophisticated, fast-paced practice; A practical, business-minded approach to advising clients; and A collaborative approach and commitment to professional excellence. Experience in mining and natural resources would be an asset but is not required.
