This is a strategic opportunity for a senior legal professional with extensive experience in mining law, corporate law, securities, capital markets and cross-border transactions, who is looking to play a key role within the Canadian legal function of a publicly listed international organization. The successful candidate will provide sophisticated legal advice across Canada and Latin America, partnering with senior leadership on complex transactions, regulatory matters, corporate governance and strategic business initiatives. About the Company Our client is an established international gold mining company with more than 50 years of experience in exploration and responsible gold production across Central and South America. The company's corporate headquarters are located in Colombia, with operations and exploration activities across multiple Latin American jurisdictions. It maintains a strong presence in international mining and capital markets, with its common shares publicly traded on the Toronto Stock Exchange (TSX) and other international markets. The Opportunity The Senior Legal Counsel will strengthen the company's legal capabilities in Canada and serve as a strategic legal advisor on corporate, securities, mining, regulatory and transactional matters. The role will have significant exposure to sophisticated cross-border transactions and will work closely with senior executives and multidisciplinary teams in Canada and Latin America. The ideal candidate combines deep legal expertise with commercial judgment, executive presence and an international mindset. Key Responsibilities Provide strategic legal advice on corporate, securities, regulatory and governance matters applicable to a TSX-listed mining company. Lead the drafting, review and negotiation of complex international agreements across the mining value chain, including mineral rights, exploration, development, operations, processing, commercialization, royalties, NSR agreements, streaming arrangements and joint ventures. Advise on Canadian continuous disclosure and public-company compliance requirements. Advise on NI 43-101 requirements, including technical disclosure and matters involving Qualified Persons. Advise on related-party transactions and business combinations under MI 61-101. Support compliance with applicable TSX Company Manual requirements. Lead legal coordination with Canadian securities regulators and the Toronto Stock Exchange, including CSA, SEDAR+ and TMX Group. Advise on cross-border mining transactions, including acquisitions, mergers, asset dispositions and joint ventures. Identify emerging legal and regulatory risks and provide proactive, commercially focused recommendations to senior leadership. Manage and strategically optimize external legal counsel across relevant jurisdictions. Partner with Finance, ESG, Environmental, Engineering and other multidisciplinary teams across Canada and Latin America. What We’re Looking For Required Qualifications & Experience LL.B., J.D. or equivalent law degree. Licensed and in good standing to practise law in Ontario, or otherwise eligible to practise law in Ontario. 10+ years of professional legal experience, with significant experience in corporate, securities and/or mining law. Demonstrated experience advising mining companies, publicly listed companies or sophisticated corporate clients on complex legal and transactional matters. Strong knowledge and practical experience with Canadian securities law, public-company disclosure and corporate governance requirements. Experience supporting or advising TSX-listed issuers is strongly preferred. Significant experience in cross-border transactions, including M&A, acquisitions, dispositions and joint ventures. Demonstrated ability to draft, review and negotiate complex international commercial and mining agreements. Strong understanding of corporate governance, securities compliance and regulatory risk. Full professional fluency in both English and Spanish is required, written and spoken, with the ability to operate confidently in legal, corporate, regulatory and commercial environments. Preferred Experience Experience advising a TSX-listed mining company. Experience with NI 43-101 and mining technical disclosure. Experience with MI 61-101 and related-party transactions. Experience working with Canadian securities regulators, SEDAR+ and the TSX. Exposure to additional international capital markets, including TSXV, NASDAQ, NYSE or AIM. Experience with international sanctions and cross-border regulatory compliance. Experience working across Canada and Latin America, particularly in multinational or publicly listed organizations.
