About the Company Our client, a highly regarded full-service law firm, is seeking an Intermediate Corporate Law Clerk to join its Corporate Services team. Responsibilities Prepare and maintain corporate records for Ontario, federal, and extra-provincial corporations. Incorporate, organize, amend, dissolve, revive, and continue corporations. Draft resolutions, meeting minutes, share provisions, and other corporate governance documents. Assist with share and asset purchase transactions, reorganizations, financings, and other corporate transactions. Conduct and review corporate searches, including NUANS, PPSA, and corporate profile reports. Prepare and file documents through applicable government registries. Maintain minute books and ensure corporate records remain accurate and up to date. Prepare annual resolutions and other ongoing corporate maintenance documents. Coordinate document execution, closing deliveries, and transaction binders. Communicate professionally with clients, lawyers, accountants, and government agencies. Manage multiple files while ensuring accuracy and meeting strict deadlines. Support lawyers with additional corporate and commercial matters as required. Requirements Law Clerk diploma or equivalent legal education. 3+ years of experience as a Corporate Law Clerk in a law firm. Strong understanding of Ontario and federal corporate legislation and corporate maintenance procedures. Experience supporting a variety of corporate transactions, including incorporations, reorganizations, and share transactions. Proficiency with Microsoft Office and corporate database software. Experience with electronic filings and corporate search platforms. Excellent drafting, proofreading, and document management skills. Strong organizational and time-management abilities with exceptional attention to detail. Outstanding verbal and written communication skills.
