Location: Calgary, Alberta Employment Type: Full-Time, In Person We are seeking an experienced, commercially minded In-House Legal Counsel to join our Calgary office, providing legal support to Tribune Capital. About the Company Tribune Capital is a Calgary-based private investment firm focused on identifying and managing long-term investment opportunities across multiple asset classes. The firm actively evaluates investments in private equity, private credit, real estate, infrastructure, energy, royalties, and other special situations, working closely with management teams and business owners to create long-term value through disciplined underwriting and strategic execution About the Role This is an exceptional opportunity for a lawyer who enjoys working as a strategic business partner rather than solely as legal counsel. Reporting directly to senior management, you will be involved in complex transactions, investment opportunities, commercial negotiations, financing arrangements, and corporate initiatives while helping manage legal and regulatory risk across a diverse portfolio of businesses. The successful candidate will have the opportunity to work across the full lifecycle of transactions—from evaluating opportunities and conducting legal due diligence through negotiation, closing, financing, integration, and ongoing portfolio management. No two days will be the same, making this an ideal role for someone who thrives in an entrepreneurial environment and enjoys solving complex legal and business challenges. Key Responsibilities TRIBUNE CAPITAL Provide legal support for private equity, private credit, infrastructure, real estate, energy, and other investment transactions. Conduct and oversee legal due diligence for prospective investments, acquisitions, and financings. Review corporate records, material contracts, litigation exposure, regulatory matters, and legal risks associated with investment opportunities. Draft and negotiate: o Loan agreements o Security documentation o Share purchase agreements o Subscription agreements o Shareholders’ agreements o Partnership agreements o Investment and financing documents Assist with structuring acquisitions, joint ventures, financings, and strategic investments. Support private lending activities, including secured lending documentation and collateral review. Work closely with management throughout transaction execution, closing, and post-acquisition integration. GENERAL CORPORATE Provide practical legal advice on a wide variety of commercial and corporate matters. Identify legal risks while developing practical business-oriented solutions. Monitor legislative and regulatory developments affecting the energy, investment, and financial sectors. Maintain corporate records and assist with governance requirements across affiliated entities. Manage relationships with external counsel and other professional advisors. Support senior management on strategic initiatives and special projects. Assist with ad hoc legal matters as they arise across the organization. QUALIFICATIONS Juris Doctor (JD/LLB) from an accredited law school. Member in good standing with the Law Society of Alberta (or eligible for admission). 2+ years of experience in corporate/commercial law. Experience drafting and negotiating sophisticated commercial agreements. Strong understanding of legal due diligence and transaction execution. Excellent analytical, negotiation, drafting, and communication skills. Ability to balance legal risk with commercial objectives.

Exigences
Requires a Juris Doctor degree and membership in good standing with the Law Society of Alberta. Candidates must have at least 2 years of experience in corporate/commercial law with strong drafting and negotiation skills.
