About Us: ZenaTech (Nasdaq: ZENA | FSE: 49Q) is a technology company specializing in AI drones, Drone-as-a-Service (DaaS), enterprise SaaS, and quantum computing solutions for mission-critical business applications. Since 2017, the company has leveraged its software development expertise and expanded its drone design and manufacturing capabilities through ZenaDrone to innovate and enhance customer inspection, monitoring, safety, security, compliance, and surveying processes. Position Overview: ZenaTech is seeking an experienced Manager, Legal to lead and elevate our growing in-house Legal Department in Toronto. This is a senior leadership role for a seasoned lawyer with substantial prior in-house experience who can take the legal function to the next level, building structure, depth, and specialized capability across the team. You will bring both the substantive breadth to serve as a trusted advisor across the business and the leadership skillset to organize, supervise, and manage a high-performing legal team at a Nasdaq-listed technology company. Responsibilities: Lead, organize, and manage the in-house Legal Department, setting priorities, processes, procedures and standards for the team. Serve as a senior advisor to the business across the full range of matters handled by an in-house team, including but not limited to HR, intellectual property, commercial, M&A, and corporate governance. Oversee and coordinate with the legal team on major transactions and complex matters, managing outside counsel where required. Advise on public company and cross-border securities obligations, including MJDS and FPI matters and applicable SEC rules. Supervise and mentor junior members of the legal team, building the capability and depth of the department. Partner with senior management, including the CEO, CFO and VPs on legal strategy, risk management, and corporate governance. Requirements: Licensed to practice law in Ontario (member in good standing with the Law Society of Ontario) Material prior in-house legal experience at a senior level, ideally including building or scaling a legal function. At least 6+ years of both in-house public company and corporate law firm experience. MJDS, FPI and U.S. securities law experience is strongly preferred. Breadth of substantive expertise across most areas handled by in-house teams: employment law, intellectual property law, with particular emphasis on commercial law, M&A, securities, data privacy, and corporate governance. Proven leadership ability, including the skillset to organize, supervise, and manage a legal team. Strong business judgment and the ability to operate as a strategic partner to senior management. Exigences
Must be licensed to practice law in Ontario with at least 6 years of combined in-house public company and corporate law firm experience. Proven leadership skills and expertise in U.S. securities law, MJDS, and FPI are strongly preferred.
